📋 Key Responsibilities:
• Represent emerging growth companies from formation to exit
• Advise on venture capital financings, equity structuring, and governance
• Handle M&A transactions involving early-stage and VC-backed companies
• Counsel institutional investors on financing structures and regulatory compliance
• Draft and negotiate deal documents, filings, and corporate governance materials
• Manage client expectations and maintain timely communication
• Collaborate across practice areas to support high-growth tech and life sciences clients

✅ Qualifications:
• Minimum of 4 years of corporate transactional experience, with focus on venture capital and M&A
• Strong experience advising startups and investors on formation, financing, and exit strategy
• Prior work at an Am Law 100 or nationally recognized firm preferred
• JD from an accredited law school
• Active California Bar license or eligibility for prompt admission
• Ability to manage complex deals and client relationships with minimal supervision
• Excellent drafting, organizational, and communication skills
