Key Responsibilities:

• Advise startups and early-stage companies on corporate governance, compliance, and strategic planning.

• Draft, review, and negotiate venture financing agreements, M&A documentation, and commercial contracts.

• Conduct due diligence and prepare disclosure schedules for transactions.

• Support clients in navigating complex securities regulations and equity compensation structures.

• Serve as a trusted advisor to clients through all stages of business growth.

Qualifications:

• J.D. from an accredited U.S. law school.

• Admission to the New York State Bar or eligibility to waive in.

• At least 3 years of experience advising emerging companies and venture capital clients.

• Deep knowledge of securities laws, startup finance, M&A, and equity structuring.

• Exceptional drafting, negotiation, and research skills.

• Strong interpersonal skills and a collaborative approach to client service.
