Mid-to-Senior Level Corporate Associate, Startup & Venture Capital (Multiple Locations)
Were seeking a mid-to-senior level corporate associate with 3+ to 6 (ONLY) years of sophisticated corporate law experience focused on startups, venture capital, and emerging-company representation. This role is open in our Bay Area (Mountain View or San Francisco), Seattle, Santa Monica, New York, or Washington, D.C. offices.
Key Responsibilities:
Advise technology and life-sciences clients at all stages: seed rounds through IPO and beyond
Lead and support venture financings, equity and debt offerings, recapitalizations, and M&A transactions
Draft and negotiate term sheets, subscription agreements, stock-purchase agreements, and ancillary documents
Coordinate due diligence and counsel clients on corporate governance and compliance matters
Qualifications:
3 to 6 years of corporate or venture-capital experience at a leading law firm or in-house
Bar admission (or eligibility to sit/waive) in the state of your desired office
Superior academic record and outstanding oral, written, and interpersonal skills
Demonstrated passion for the startup ecosystem and emerging-company representation
